1. Agreement to terms
These Terms of Use constitute a legally binding agreement between you and Creaveel Technologies Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at Jaydeep Emphasis, Wagle Industrial Estate, Thane 400604, Maharashtra, India. They apply to your access to and use of this website and its content.
We may amend these terms at any time by publishing a revised version on this page. Your continued use after publication constitutes acceptance of the amended terms.
2. Definitions
- “Company”, “we”, “us” — Creaveel Technologies Private Limited.
- “Website” — this website and all pages and sub-domains under it.
- “Services” — software development, computer programming, technology consultancy, support and related services provided by us.
- “Deliverables” — the software, documentation and other materials prepared for a client under a services agreement.
- “Background IP” — tools, libraries, frameworks and know-how owned by us before or developed independently of an engagement.
3. Use of the website
You may access and view the Website for lawful purposes, and print or download extracts for your own reference, provided you do not modify them or remove any proprietary notice. You represent that you are at least 18 years old and legally competent to contract, and that any information you submit is accurate.
4. Restrictions
You must not:
- Use the Website in any manner that breaches applicable law or infringes the rights of others.
- Attempt unauthorised access to the Website, its servers, databases or any connected system.
- Conduct vulnerability scans, penetration tests or load tests without our prior written permission.
- Upload or transmit malware, or anything designed to interrupt or damage the operation of software or hardware.
- Systematically extract, scrape or reproduce content for republication or commercial use.
- Frame or mirror the Website, or misrepresent your relationship with the Company.
- Use contact details published on the Website to send unsolicited commercial communications.
5. Intellectual property
All content on the Website — text, layout, graphics, code, the Creaveel name and logo — is owned by or licensed to the Company and protected by applicable intellectual property law. Nothing on the Website grants you a licence to use any trade mark or content except as expressly permitted in section 3.
For paid engagements: on receipt of all agreed fees, Deliverables created specifically for the client are assigned to the client. Background IP remains our property and is granted to the client as a perpetual, non-exclusive, royalty-free licence to the extent it is embedded in the Deliverables. We retain the right to reuse general skills, techniques and know-how acquired during any engagement.
6. Services and contracts
Descriptions of Services on this Website are indicative and do not constitute an offer. Services are provided only under a separate written agreement, statement of work, proposal or purchase order accepted by both parties, which will specify scope, deliverables, acceptance criteria, timelines, fees, support terms and any service levels.
Estimates given before a signed agreement are non-binding indications based on the information available at the time. Where a conflict exists between these Terms of Use and a signed services agreement, the services agreement prevails for the Services it covers.
7. Client responsibilities
Delivery timelines assume timely cooperation. Clients agree to provide accurate requirements, nominate a decision-maker with authority to approve, supply necessary access to systems and third-party accounts, review deliverables within the agreed review window, and obtain any licences required for third-party components they specify. Delays attributable to the client may shift timelines and, where material, costs.
8. Fees, invoicing and taxes
Fees and payment schedules are as set out in the applicable services agreement. Unless expressly stated, fees exclude Goods and Services Tax and other statutory levies, which will be charged additionally at the applicable rate. Invoices are payable within the stated period. Overdue amounts may attract interest at the rate specified in the agreement, and we may suspend work on written notice until outstanding sums are cleared.
9. Confidentiality
Each party shall keep confidential all non-public information disclosed by the other in connection with an engagement, use it only for the purposes of that engagement, and protect it with at least the same care it applies to its own confidential information. These obligations do not apply to information that is public through no breach, independently developed, lawfully obtained from a third party, or required to be disclosed by law.
10. Warranties and disclaimers
The Website and its content are provided “as is” and “as available”, without warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Website will be uninterrupted, error-free or free of harmful components.
For paid Services, we warrant that work will be performed with reasonable skill and care by suitably qualified personnel, and that Deliverables will materially conform to the agreed specification during the warranty period stated in the services agreement. That warranty is the sole warranty given in respect of the Services.
11. Limitation of liability
To the maximum extent permitted by law, we shall not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business, goodwill, data or anticipated savings, however arising.
Our aggregate liability arising out of your use of the Website is limited to INR 10,000. Our aggregate liability in respect of a paid engagement is limited to the total fees paid by the client under the applicable services agreement in the twelve months preceding the event giving rise to the claim, unless a different cap is agreed in writing.
Nothing in these terms limits liability for fraud, wilful misconduct, or any liability that cannot lawfully be limited.
12. Indemnity
You agree to indemnify and hold harmless the Company, its directors, officers, employees and agents against any claim, demand, loss, liability or expense (including reasonable legal costs) arising from your breach of these terms, your unlawful use of the Website, or your infringement of a third party's rights.
13. Suspension and termination
We may modify, suspend or discontinue the Website, in whole or in part, at any time without notice. We may terminate or restrict your access immediately if you breach these terms. Provisions relating to intellectual property, confidentiality, limitation of liability, indemnity and governing law survive termination.
14. Governing law and dispute resolution
These terms are governed by and construed in accordance with the laws of India. Subject to the arbitration provision below, the courts at Thane, Maharashtra shall have exclusive jurisdiction.
Disputes shall first be addressed through good-faith discussion between senior representatives of the parties. If unresolved within 30 days, the dispute shall be referred to arbitration by a sole arbitrator appointed by mutual consent under the Arbitration and Conciliation Act, 1996. The seat and venue shall be Thane, Maharashtra, and proceedings shall be conducted in English. The award shall be final and binding.
15. General provisions
- Severability — an invalid provision is severed without affecting the remainder.
- No waiver — delay or failure in enforcing a right is not a waiver of it.
- Force majeure — neither party is liable for failure to perform due to events beyond reasonable control.
- Assignment — you may not assign your rights without our prior written consent.
- Independent contractors — nothing creates a partnership, joint venture or employment relationship.
- Entire agreement — these terms with our Privacy Policy and Disclaimer form the entire agreement on your use of the Website.
